CONNECTICUT ART EDUCATION ASSOCIATION, Inc.


CONSTITUTION

ARTICLE I. : NAME

The organization shall be known as the Connecticut Art Education Association, Inc. (Herein referred to as CAEA).

ARTICLE II.: PURPOSES

The purposes of the CAEA are to represent the art teachers of the state; to improve the conditions of teaching art; to promote art as an essential component of educational programs; to encourage experimentation in art education; to hold pubic discussions; to sponsor institutes, conferences, and programs; to publish articles, reports, and surveys and curriculum information to encourage and promote curriculum development and assessment; to work with other related agencies. Since it is the purpose of the Association to be a non-profit education organization, it shall only engage in activities consistent with its status as defined in the Internal Revenue Code, under code section 501(c)(3).

ARTICLE III.: MEMBERSHIP

Art educators in the public and private schools of Connecticut, as well as other individuals who are interested or involved in activities concerned with or related to art, art education, or education are eligible for membership, upon paying the appropriate membership dues.

ARTICLE IV.: ORGANIZATION AND GOVERNMENT

Section 1: The CAEA government shall be organized to include the elected officers of the Executive Board and the Consulting Units.

Section 2: ELECTED OFFICERS. The elected officers of the
CAEA shall be the President(s), and President(s) -elect.

Section 3: EXECUTIVE BOARD. The Board shall be the executive authority of the Association. The board shall be comprised of the elected officers, and the following appointed officers: Secretary, Treasurer, Immediate Past President(s), Membership Chairperson, Publications Editor(s), Youth Art Celebration Chairpersons, Grants Chairperson, Scholastic Art Awards Chairperson, Curriculum Sharing Coordinator, Publicity Chairperson, Awards Chairperson, Postmaster, Webmaster, Members-at-Large, CAEA Historian, the State Arts Consultant, and representatives of Elementary School, Middle School, High School, Higher Education, Private/Vocational/Independent Schools, Visual Arts Administrators, University Students, Museums, and Retired Teachers.


Section 4: CONSULTING UNITS. National Art Education Association (NAEA),
United States Society for Education through Art (USSEA), International Society for Education through Art (INSEA), the Connecticut Alliance for Arts Education, the Connecticut Association of Art Administrators, the New England Art Education Conference, Inc., and the Very Special Arts, Connecticut may be consulting units to the CAEA Executive Board.

Section 5: TERMS OF ELECTED OFFICERS. The term of office of President(s) shall be two years , commencing July 1, with eligibility for re-election. The office of President(s) may be filled by one person, or by two persons who are elected to share the office as Co-Presidents. The term of office of President(s) -Elect shall be one year.


Section 6: TERMS OF APPOINTED OFFICERS. Appointed officers of the
Executive Board are appointed for the term of the President(s). Their appointments may be renewed by succeeding Executive Boards.

ARTICLE V: POWERS

The Corporation shall have the power to do all lawful acts necessary or desirable to carry out its purposes consistent with the provisions of Section 501 (c) (3) of the Internal Revenue Code.

ARTICLE VI: ELECTIONS

Section 1:
Candidates for office in CAEA must be members in good standing who hold active membership in the CAEA. A majority of the votes cast by the Executive Board is required for election.
In the event of a vacancy in any office, a temporary appointment will be made by the President(s), with Board approval. Election of the President(s)-Elect shall be held in alternating years with that of the President(s) election, to allow a one-year term of office prior to their nomination as President.


Section 2: NOMINATIONS. Nominations are open to any CAEA member, and must be received by March 15. Nominations for President(s) and President(s)-Elect shall be accepted by the Executive Board and voted on by the Executive Board prior to April 1.





ARTICLE VII: MEETINGS.

Section 1: A Convention Meeting of the CAEA shall be held in the Fall of each year.
Section 2: An Annual Business Meeting of the CAEA shall be held in May of each year. The location and time of the meeting will be at the discretion of the Executive Board.

Section 3: The Executive Board shall meet at regular intervals as determined by the Board. Special meetings of the Executive Board may be called by the President.

Section 4: Special meetings may be called by the Executive Board if deemed necessary.

Section 5: Notice of time, place, and purpose of meeting shall be publicized in the most convenient manner at least two weeks in advance of the meeting.

Section 6: A quorum for the transaction of Executive Board business shall consist of at least fifty percent of the Executive Board being present. A quorum for voting on proposals presented at a general membership meeting shall require at least ten percent of all CAEA members being present, with a simple majority vote of those present required for the action to pass.


ARTICLE VIII: COMMITTEES

Section 1: STANDING COMMITTEES. The CAEA shall have the following Standing committees: the Finance Committee; the Membership Committee; the Youth Art Celebration Committee; the Scholastic Arts Committee; and the Awards Committee. Committee Chairpersons shall be appointed by the President(s) in consultation with the Executive Board. All committees shall have a structure which provides for broad representation of the CAEA membership.
Standing Committee members are appointed for the term of the elected officers. Their appointments may be renewed by succeeding administrations. Replacements of Standing Committee members are handled in the same manner.

Section 2: SPECIAL COMMITTEES. Special committees may be appointed by the Executive Board or the President(s) to undertake special assignments. Special committees shall be appointed on an Ad Hoc basis.

ARTICLE IX: INCOME AND BENEFITS

No part of the net earnings of the CAEA shall benefit any members, sponsor, donor, creator, trustee, officer, employee, or without limitation, any other private individual. This shall not prevent payment of reasonable compensation for services actually rendered to or for the CAEA in its purpose.

The CAEA shall not divert any part of its income or corpus to any member, sponsor, donor, creator, trustee, officers, or employees; by lending any part of its income or corpus without the receipt of adequate security and a reasonable rate of interest; by paying any compensation in excess of reasonable allowance for salaries, or other compensation for personal services actually rendered; by making any purchase of security or other property for more than adequate consideration for money or money's worth; or by engaging in any other transaction which will either directly or indirectly result in such diversion of its income corpus, receive all tax exemptions, federal and local, which may from time to time be granted to charitable, scientific, or educational associations or foundations.

Upon the dissolution of the Corporation, any assets remaining thereafter shall be conveyed to such organization or organizations as shall be selected by the affirmative vote of 2/3 of the Executive Board entitled to vote in respect thereof, provided, however, that such organization or organizations shall be exempt under Section 501(c)(3) of the Internal Revenue Code.


ARTICLE X: AMENDMENTS

All provisions of this Certificate of Incorporation shall be subject to amendment, so long as such amendments are consistent with the provisions of the [applicable state not-for-profit-act] and Section 501 (c) (3) of the Internal Revenue Code of 1954, by the affirmative vote of all of the members entitled to vote in respect thereof, given at the annual meeting or at any special meeting provided that notice of the proposed amendment is included in the notice of such meeting.

Amendments to the Constitution shall be voted on by the membership in a vote conducted at the Fall Conference or by mail. Two thirds of the votes cast is required for passage of an amendment. All proposals for amendment shall be considered by the Executive Board. Such proposals shall be put in writing and submitted prior to April 1 of any given year.


BYLAWS

ARTICLE I: DUTIES OF THE OFFICERS

Section 1a: The President(s) shall perform the usual duties connected with that office, act as spokesperson(s) for the CAEA and Chairperson(s) of the Executive Board, and with the cooperation of the Board, direct the policies of the Association during their term in office. They shall be ex-officio member(s) of all committees. It shall be his, her, or their duty, with the concurrence of the Board, to make all appointments, fill all vacancies, and establish the calendar for meetings. They shall present a report at the Annual Meeting and at the Fall Conference, and shall plan, implement, and preside over the Annual Business Meeting(Retreat) and Fall Conference. They shall act as official representative of the CAEA in affiliated alliances, political action efforts and related initiatives, and will act as liaison to the State Department of Education in statewide consortiums.

Section 1b: He, she, or they shall act as custodian of all papers and properties belonging to the Association.

Section 2: The President-elect, shall be Program Chairperson, be responsible for all programs of the organization, delegating work as he, or she shall deem fit, and perform the duties of the President during the President's absence. He, or she shall present a report on these programs at the Annual Meeting, and shall assume the duties of President upon completion of the one year term as President-elect, upon affirmative vote of the Executive Board.

Section 3a: The Secretary shall keep the Minutes of all Executive Board Meetings and shall distribute said Minutes to members of the Executive Board at least two weeks prior to the next meeting.

Section 3b: He or she shall submit a summary report to the President to present at the Annual Meeting of the Association of the activities of the Executive Board and Association

Section 3c: The Secretary shall send out information and shall perform other duties as directed by the Executive Board.

Section 4a: The Treasurer shall collect all Money for the Association in cooperation with the Membership.

Section 4b: He or she shall be the Custodian of all money belonging to the Association and shall deposit said money in a bank approved by the Executive Board. He or she shall be custodian of the account access ATM card, and will provide bank statements as requested by the President(s).

Section 4c : He or she shall pay out money as directed by the Executive Board, and keep accurate updated records of receipts and disbursements, making reports at each Executive Board meeting and at the Annual Business Meeting(Retreat), as well as providing reports upon request to the Grants Chairperson.


Section 4d : The Treasurer's accounts shall be audited as directed by the Executive Board.

Section 4e : The Treasurer shall be a member of the Finance Committee.

Section 5 : Any elected or appointed officer missing three consecutive meetings and / or not fulfilling the responsibilities of his/her office may be removed by the Executive Board.


ARTICLE II: DUTIES OF THE EXECUTIVE BOARD, CONSULTING UNITS, AND STANDING COMMITTEES

Section 1: THE EXECUTIVE BOARD. The Executive Board shall be the elected and appointed officers. It shall appoint committee chairpersons and shall meet annually to prepare goals for the Association.

The Executive Board shall serve as the executive authority of the Connecticut Art Education Association. It shall suggest policies for consideration by the membership, carry out policies, and provide such supervision as many be necessary to promote the best interests of the Association goals and programs. It shall provide all expenditures and shall be responsible for the presentation of a financial report by the Treasurer to the membership. The Board shall set the dues for the Association. The Board shall attend to matters relating to the strengthening of the Association, amend the by-laws, recommend additional committees for the Association, and renew the Association Handbook and recommend changes in policies and procedures for the Association.

Section 2: CONSULTING UNlTS. It shall be the duty of recognized consulting units to study problems relating to their area of concern, conduct a program of professional activities, and to inform the Executive Board of concerns, needs and proposals relating to their particular interest.

Section 3: STANDING Committees.
The following shall meet as needed:

FINANCE COMMITTEE: The Finance Committee shall review the financial operation of the Association and prepare the budget. The Committee shall consist of the President(s), President- Elect, Immediate Past-President, the Treasurer, and at least one appointed member. The Chairperson of this Committee shall be selected by the Committee members.

MEMBERSHIP COMMITTEE: The Committee on Membership shall carry on a continuous program of evaluation of the membership, encouraging new professional memberships, and developing new areas and types of membership to accommodate changing conditions. The Committee shall consist of the membership chairperson and a committee selected by the chair.



PUBLIC RELATIONS COMMITTEE: The Public Relations Committee shad establish a comprehensive public relations plan for CAEA, including developing a computerized public relations mailing list, preparing and sending news releases to the medial and sending CAEA information to organizations and individuals on the mailing list.

YOUTH ART CELEBRATION COMMITTEE: The YAM Committee shall conduct the CAEA Youth Art Celebration Exhibit, including selecting and arranging for the event, submitting timely information for the membership in the Winter Visions newsletter, arranging for collection and preparation of artwork for the show, hanging the show, and show opening and closing activities.

SCHOLASTIC ARTS COMMITTEE: The Scholastic Arts Committee shall, in cooperation with other consulting units, conduct the Connecticut Scholastic Arts Competition.

AWARDS COMMITTEE: The Awards Committee shall prepare information on CAEA awards and guidelines for award selection; write award descriptions, application forms, and deadlines for the Spring Visions newsletter, work with the Executive Board to select award winners; and handle details related to awards presentations. The elected officers shall be members of this committee.

PUBLICATIONS COMMITTEE: Publications Committee shall publish the CAEA Newsletter, a news / information bulletin, at least three times a year. The Publications Committee shall consist of the CAEA Newsletter Editor, the Webrarian, and a Committee appointed by the Editor.


ARTICLE III: MEMBERSHIP, DUES, AND FEES

Section 1: AMOUNT OF DUES. The state dues for all classes of membership of the CAEA shall be determined by the Executive Board. Membership dues are unified with the National Art Education Association.

Section 2: CLASSES OF MEMBERSHIP. Unless otherwise specified, all classes of membership are for a period of one year, or life membership (not available after July, 1994). The following classes of membership are established:


a. ACTIVE. For those individuals engaged in teaching art, or the direction of program of art education, or in pursuits closely related to the field. Active membership provides all the privileges of membership including the right to vote and hold office.

b. ASSOCIATE. For all persons interested in art education and not actively engaged in the teaching of art. Associate membership provides all the privileges of membership except the right to vote and hold office, except in emergency situations when approved by the Board.

c. STUDENT. For undergraduate students and full-time graduate students. Student membership provides all the privileges of active membership except the individual right to hold elected office.

d. INSTITUTIONAL. For institutions directly or indirectly involved in art education. Institutional membership provides all the privileges of membership except the right to vote or hold office. Institutional membership entitles any one representative to register at conferences of the Association. Dues to the Association shall not include the exhibit's fee for exhibiting at CAEA conventions.

e. RETIRED. For all individuals who have retired from a career of teaching art. Retired membership provides all the privileges of membership except the right to hold elected office, except in emergency situations when approved by the Board.

f. FIRST YEAR. For those individuals currently in their first year of teaching art. First Year membership provides all the privileges of Active membership, except the right to hold elected office, except in emergency situations when approved by the Board.

ARTICLE IV: HANDBOOK OF POLICIES AND PROCEDURES

The Executive Board shall adopt a handbook as an operational guide which outlines policies and procedures of the Association. Material should be reviewed periodically and changes made as deemed necessary. It shall be reviewed by each successive Secretary at least six months before the end of that Secretary's term of office.

ARTICLE V: ADOPTION OF CONSTITUTION AND BYLAWS

After presentation of the proposals for reorganization to the membership and upon the majority approval of the votes cast from the current CAEA Active membership, this Constitution and Bylaws becomes operative immediately. The Constitution and By-laws may not be in conflict with section 501(c) 3 of the Internal Revenue Code of 1954 or its successors.




ARTICLE VI: RESOLUTIONS

The adopted resolutions of the CAEA will be made available to all new members, and annually to all members when changes have occurred. All proposed additions and/or amendments to the resolutions must be submitted in writing to the President(s) no later than April 1 of any given year. Such additions and/or amendments shall be presented to the Executive Board for review at their regular meeting in April, with debate and vote at the annual Spring Retreat or May meeting.


ARTICLE VII: FISCAL AND ADMINISTRATIVE YEAR

The fiscal, membership. and administrative year shall extend from July 1 to June 30. Newly elected officers shall assume their active service on July 1.

ARTICLE VIII: RULES OF ORDER

Robert's Rules of Order (revised) shall be the authority on all questions of procedure not otherwise covered in the Constitution and Bylaws.

ARTICLE IX: AMENDMENTS

a. The Bylaws may be amended by majority vote of the Executive Board provided that a proposed amendment has been previously studied by the Executive Board at a regular meeting and that copies have been sent to all members of the Executive Board at least 2 weeks in advance of the meeting.

b. All provisions of the Certificate of Incorporation shall be subject to amendment, consistent with the provisions of any applicable state not-for-profit or other act, and section 501(c)(3) of the Internal Revenue Code of 1954, by the affirmative vote of all of the members entitled to vote in respect thereof, given at the annual Fall Conference, or at any special meeting provided that notice of the proposed amendment is included in the notice of such meeting.
